DONATION ROUTING POLICY

Last updated January 6, 2026

Fishlanthropy Foundation, Inc.

1. Purpose

This Donation Routing Policy defines how charitable funds are received, processed, and distributed by Fishlanthropy Foundation, Inc. to ensure:

  • transparency and accountability;

  • compliance with nonprofit law and IRS requirements; and

  • clear separation from for-profit entities.

2. Independent Receipt of Funds

All charitable donations intended for the Foundation shall be:

  • received directly into accounts or wallets owned and controlled by the Foundation; or

  • transferred to the Foundation pursuant to documented charitable contributions.

The Foundation maintains separate banking, accounting, and digital asset infrastructure from any affiliated for-profit entity.

3. Platform-Integrated Donations

The Foundation may receive donations through integrated tools, including:

  • round-up donations;

  • embedded donation links; or

  • smart-contract-based routing mechanisms.

When such tools are provided by a third party or affiliated platform:

  • donations are routed directly to the Foundation;

  • the Foundation retains full ownership and control of the funds; and

  • no commingling of charitable and commercial funds occurs.

4. Contributions from Fisheez Public Benefit Corporation

Fisheez Public Benefit Corporation may contribute a portion of its revenue to the Foundation as a charitable donation.

Such contributions:

  • are made at the discretion of Fisheez PBC;

  • are not customer funds held in trust;

  • do not entitle Fisheez PBC to control Foundation operations; and

  • are recorded as charitable contributions, not service payments.

5. Use and Distribution of Funds

Donated funds may be distributed for:

  • charitable assistance to individuals or organizations in need;

  • educational programs;

  • community assistance initiatives; and

  • charitable rewards, grants, or recognitions approved by the Board.

All distributions require internal approval consistent with the Foundation’s bylaws and applicable policies.

6. No Custodial or Fiduciary Holding for Third Parties

The Foundation does not act as a custodian, escrow agent, or intermediary for private transactions.

Funds are accepted only as charitable contributions and are distributed at the Foundation’s discretion in furtherance of its exempt purpose.

7. Transparency and Recordkeeping

The Foundation maintains accurate records of:

  • all donations received;

  • sources of funds;

  • program allocations; and

  • charitable disbursements.

Where applicable, blockchain transaction records may be used to enhance transparency.

8. Amendments

This Policy may be amended by the Board of Directors at any time.
