§1 – Acceptance of Terms and Definitions

1.1 Acceptance of Terms
By accessing or using the Fisheez platform (the “Platform”), including any websites, mobile apps, smart-contract interfaces, or related services operated by Fisheez PBC (“Fisheez,” “we,” “our,” or “us”), you (“you,” “your,” or “User”) agree to be bound by these Terms of Service (“Terms”) and all policies expressly incorporated by reference.
If you do not agree to these Terms, do not access or use the Platform.
Continued use after any update constitutes acceptance of the revised Terms.
You affirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts. If you access the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes both you personally and that entity.
Use of Classifieds is governed by the Classifieds Posting Rules.
These Terms form a legally binding agreement between you and Fisheez PBC, a Delaware Public Benefit Corporation headquartered in the United States.
1.2 Scope of Services
Fisheez provides software and blockchain-enabled tools that allow Users to buy, sell, and resell goods or services through non-custodial smart-contract escrow (“Smart Shells”) and related features such as NFT-based memberships, Shorefront seller levels, and the Peacemaker dispute-resolution process.
Fisheez does not act as a bank, money transmitter, broker, or financial intermediary.
All transfers of value occur directly between Users through autonomous smart contracts as described in Section 4.
Your participation in any marketplace activity is at your own risk and subject to these Terms, the Privacy Policy, and any category-specific or jurisdiction-specific rules posted on the Platform.
1.3 Modifications to Terms
Fisheez may modify these Terms at any time to reflect product updates, regulatory changes, or business requirements. Updated versions will be posted with a new “Last Updated” date.
Notice of material changes may be provided via email, in-app notification, or banner. Your continued use of the Platform after the effective date of a change constitutes your agreement to the revised Terms.
1.4 Definitions
For clarity throughout these Terms, the following definitions apply.

| “Account” | The verified user profile associated with a connected digital wallet and identity credentials (email / phone / KYC). |
| “Buyer” | A User who purchases goods or services through the Platform. |
| “Seller” | A User who lists or provides goods or services on the Platform. |
| “Platform” | The websites, mobile applications, APIs, and blockchain interfaces operated by Fisheez PBC. |
| “Smart Shell Escrow” | The non-custodial smart-contract system that temporarily holds and releases digital assets automatically according to pre-set transaction logic, without Fisheez custody. |
| “Shorefront Levels” | The tiered seller-progression system that governs listing limits, discounts, and benefits based on NFT ownership or verified performance. |
| “Pearl Points” or “Pearls” | Non-transferable platform-points used for rewards, dispute participation, and service-fee discounts. Pearls are not tokens or securities. |
| “TideTurner NFTs” | Limited-edition utility NFTs that provide predefined fee discounts and buyer-side benefits. |
| “Peacemaker” | A certified community member authorized to participate in dispute voting under Section 7. |
| “Fishlanthropy Foundation” | A related charitable organization that supports community and dispute-resolution education; it does not hold or transmit funds. |
| “Dispute” | Any formal claim initiated by a Buyer or Seller under the Peacemaker System. |
| “Services” | All Platform features offered by Fisheez PBC, including web, mobile, AI, and blockchain components. |
| “User Content” | Any data, listing, text, image, video, or metadata submitted to the Platform by a User. |
1.5 Governing Documents
These Terms incorporate by reference the following policies as if fully stated herein:
- Privacy Policy
- Seller Agreement
- Buyer Agreement
- Dispute Resolution Policy
- Refund & Return Policy
- NFT / Crypto Payments Policy
- Community Guidelines
- Certain features, including Classified Ads, operate outside the Fisheez marketplace and are governed by separate terms. Marketplace protections, escrow, payments, and dispute resolution do not apply unless explicitly stated
In the event of a conflict, these Terms control unless a more specific document expressly states otherwise.
1.6 Survival and Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Fisheez’s failure to enforce any right or provision is not a waiver of that right.
1.7 Acknowledgment
By clicking “Agree,” connecting a wallet, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all linked policies.
