Promoter Program Terms

(Incorporated by reference into the Fisheez Terms of Service, Seller Agreement, Buyer Agreement, and SmartShell Escrow Agreement.)

Version 1.0 — Legally Binding

The Promoter Program allows Sellers to voluntarily authorize a portion of their sale proceeds to be paid to a third-party Promoter who boosts or amplifies a listing. These Terms govern all Promoter participation on the Fisheez Platform.

By activating promoter tools, accepting promoter assignments, or receiving promoter compensation, you agree to all terms below.

1. Role of Promoters

1.1 Independent Participants

Promoters act independently. They are not employees, contractors, partners, agents, or representatives of Fisheez or the Seller.

1.2 Boosting Listings

Promoters may:

  • reshare listings on their channels,
  • promote listings via content,
  • drive traffic to specific items,
  • provide discovery or exposure to Sellers.

Promoters do not provide payment services, escrow services, or fulfillment services.

1.3 Voluntary Program

Sellers may opt into or out of promoter participation at any time.

Promoters are free to choose which listings they promote.

2. Activation by Sellers

2.1 Seller Opt-In

A Seller must explicitly activate promoter participation for any listing. If the Seller does not activate it, no promoter may earn compensation for that listing.

2.2 Seller-Selected Compensation Type

The Seller may choose one of the following for each listing:

  • Percentage of Seller’s proceeds (e.g., 5% of seller payout)
  • Fixed compensation amount (e.g., 10 USDC from seller payout)

2.3 Seller Control

The Seller determines the promoter terms at listing creation.

Changes do not affect any listing that is already under SmartShell escrow.

3. Compensation & Payout Logic

3.1 SmartShell-Controlled Distribution

Promoter compensation is distributed automatically through SmartShell as part of the on-chain payout split.

3.2 Source of Funds

Promoter compensation is always paid from the Seller’s proceeds, never from:

  • the Buyer,
  • the platform fee,
  • any discount structure,
  • any tax amount,
  • or any Fisheez-controlled wallet.

3.3 Discount Neutrality

Promoter compensation is never adjusted by:

  • Shorefront tier discounts (seller or buyer)
  • TideTurner NFT benefits (seller or buyer)
  • Pearl-based subscription discounts
  • Promotions, coupons, or incentives

This ensures promoter payouts are predictable and non-manipulable.

3.4 Single Promoter Assignment

Each listing pays one promoter per transaction—the one selected through the seller’s interface or referral logic.

4. Promoter Eligibility Requirements

To act as a Promoter, you must:

  1. Maintain an active Fisheez account with an active Shorefront (Tier 1–8)

    (Shorefront 1 is free and counts as a seller account.)

  2. Agree to and remain bound by the:

    • Promoter Program Terms
    • Seller Agreement
    • Fisheez Terms of Service
    • SmartShell Escrow Agreement

  3. Complete any required identity verification when requested.

  4. Comply with all prohibited items, category rules, and advertising requirements.

  5. Not act as Buyer or Seller on the same listing being promoted.

  6. Not promote prohibited or illegal listings.

  7. Not manipulate traffic, create bots, or fabricate engagement

Fisheez may impose additional eligibility requirements for higher-tier promoter tools in the future.

5. Prohibited Conduct (Promoter-Specific)

Promoters may not:

  • Mislead Buyers or misrepresent listings
  • Encourage off-platform payments
  • Manipulate platform visibility or exploit algorithms
  • Interfere with Seller pricing
  • Promise discounts, guarantees, or outcomes on behalf of Sellers
  • Attempt to influence Peacemaker voting
  • Create duplicate accounts to collect multiple payouts
  • Engage in fraud, click manipulation, or deceptive practices
  • Promote items that violate Fisheez Prohibited Items & Category Rules

Any violation may result in permanent removal from the Promoter Program and/or the platform.

6. Disputes, Returns, and Chargebacks

6.1 Promoter Compensation Is Final

Once SmartShell executes a payout, promoter compensation is final and not reversed for:

  • Buyer returns
  • Buyer disputes
  • Seller disputes
  • Appeals
  • Cancellations
  • Platform moderation actions

6.2 If a dispute occurs before payout

Promoter compensation is paid only if the Seller wins the dispute and SmartShell executes a forward release.

If SmartShell executes a backward refund, no promoter compensation is paid.

7. Relationship to SmartShell Escrow Agreement

These Terms are governed by and subordinate to the SmartShell Escrow Agreement.

Promoters acknowledge that:

  • All payouts are automated
  • All outcomes are binary (Forward/Backward)
  • No manual overrides exist
  • No partial payments exist apart from the Seller → Promoter allocation
  • Dispute and appeal timers are fixed and legally binding

8. Suspension & Termination

Fisheez may suspend or terminate Promoter privileges if the Promoter:

  • violates these Terms
  • violates the TOS or Seller Agreement
  • promotes fraudulent or dangerous listings
  • manipulates traffic, bots, or referrals
  • is repeatedly linked to bad-faith activity
  • creates risk to Buyers, Sellers, or the platform
  • misrepresents Fisheez or impersonates staff

Termination may be immediate.

9. Legal & Compliance

Promoters are responsible for:

  • reporting and paying income taxes on compensation earned
  • complying with advertising laws (truthful representation, no deception)
  • complying with local regulations around endorsements and disclosures
  • ensuring promotional materials are accurate
  • using original content with proper rights

10. Governing Documents

The Promoter Program Terms are part of the broader Fisheez legal framework and must be interpreted alongside:

  1. Fisheez Terms of Service
  2. SmartShell Escrow Agreement
  3. Fisheez Dispute Resolution & Refund Policy
  4. Seller Agreement
  5. Prohibited Items & Category Rules
  6. Shorefront Subscription & Pricing Policy
  7. NFT, Crypto & Payment Policy

In the event of conflict, the TOS controls.

11. Acceptance

By promoting a listing, enabling promoter participation, or receiving promoter compensation, you confirm:

  • You have read these Terms
  • You understand them
  • You accept them
  • You agree to be legally bound by them
