Seller Agreement

(Legally Binding — Integrated With SmartShell & Fisheez TOS)

This Seller Agreement (“Agreement”) governs your activities as a Seller on the Fisheez marketplace (“Fisheez,” “we,” “our,” “the Platform”). This Agreement forms part of the Fisheez Terms of Service and is incorporated by reference into:

  • SmartShell Escrow Agreement
  • Fisheez Dispute Resolution & Refund Policy
  • Peacemaker Governance & Charter
  • Promoter Program Terms
  • Shorefront Subscription & Pricing Policy
  • Category-Specific Rules (TOS §10)
  • Privacy Policy
  • Offers & Pre-Checkout Messaging

If any conflict exists, the Fisheez Terms of Service control.

By creating a listing or completing a sale, you agree to be bound by this Agreement.


1. Status of Seller

1.1 Independent Entity.

You act as an independent seller. You are not an employee, contractor, agent, franchisee, joint venturer, or partner of Fisheez.

1.2 Marketplace Role.

Fisheez provides a marketplace, non-custodial SmartShell escrow, and a community dispute system. Fisheez does not:

  • set your prices,
  • take custody of funds,
  • guarantee that any item will sell,
  • manually mediate or override SmartShell outcomes.

1.3 SmartShell Binding.

All Seller activity is governed by the SmartShell Escrow Agreement and the Dispute Resolution & Refund Policy. You acknowledge and agree that:

  • SmartShell supports binary outcomes only (full forward to Seller or full backward to Buyer);
  • SmartShell does not support partial refunds or split payments within a single escrow;
  • escrow timers, dispute windows, return windows, and appeal windows are fixed and deterministically enforced;
  • SmartShell executes dispute and appeal outcomes automatically, without manual intervention by Fisheez.

2. Eligibility Requirements

To act as a Seller you must:

  • be at least 18 years old and legally capable of entering into contracts;
  • complete identity and/or business verification as required by law and platform policy;
  • maintain a verified email and connected wallet;
  • comply with all Category-Specific Rules in TOS §10;
  • comply with all applicable U.S. and local laws governing your products or services.

Fisheez may, at its discretion, request additional documentation or verification, especially for higher-risk categories or higher transaction volumes. Failure to maintain eligibility or comply with verification requirements may result in limitation, suspension, or termination of Seller privileges.

Fisheez does not provide legal, tax, or regulatory advice and does not guarantee that your use of the Platform satisfies your legal obligations.


3. Shorefront Store Subscription (Tiers 1–8)

3.1 Description.

Your Shorefront tier defines your store subscription level. It governs, among other things:

  • monthly listing limits,
  • monthly host hours,
  • monthly viewer minutes,
  • charity votes,
  • seller-side service-fee discount level,
  • access to additional seller tools and features.

All subscription pricing, entitlements, discounts, eligibility rules, and NFT requirements are governed by the Shorefront Subscription & Pricing Policy, which is incorporated into this Agreement by reference. If there is any conflict, the Terms of Service controls.

3.2 Tier Pricing.

Shorefront pricing (monthly/yearly) is displayed in the Seller Dashboard and/or the applicable pricing sheet. You agree to pay subscription fees when due. Unless required by law, subscription fees are non-refundable.

3.3 Discount Rules.

You may qualify for subscription discounts through:

  • Pearl Qualification
    • If you have sufficient Pearls to qualify for a given Shorefront tier, you receive a 25% discount on the Monthly or Yearly subscription price for that tier.
  • TideTurner NFTs
    • Holding an eligible TideTurner NFT may provide a 25% discount on Monthly or Yearly subscription fees for Shorefront tiers 2–8.
  • Peacemaker Certification Discounts

Passing Peacemaker Levels unlocks subscription discounts as follows:

Level 1 (L1)

Applies to Shorefront 2:

  • One-time 50% discount on the Yearly price, valid for the first 12 months of the Yearly plan.
    • Must be redeemed within 90 days of passing Level 1, or it expires.
  • 25% discount on the Monthly price, applied on an ongoing basis for as long as the Seller maintains Monthly billing.
    • This monthly discount does not expire and is not limited to the first year.

Levels 2 & 3 (L2 + L3)

Applies to Shorefront 3–8:

  • One-time 50% discount on ANY one Shorefront Yearly subscription (tiers 2–8), valid for the first 12 months of whichever tier the Seller chooses.
    • Must be redeemed within 90 days of passing Level 3, or it expires.
    • This is a single-use discount, not one per tier.
  • 25% discount on Monthly pricing for any Shorefront tier (3–8), applied on an ongoing basis as long as Monthly billing is maintained.
    • This monthly discount does not expire and is not limited to a single year.

General Rules

  • Discounts never stack; the system applies the single highest discount (Pearl, Peacemaker, or TideTurner).
  • Passing Levels 2 and 3 does not grant multiple Yearly discounts — only one 50% Yearly discount total.

Discounts never stack. For any subscription charge, the system applies a single highest valid discount (“best discount wins”).

3.4 Free Tier (Shorefront 1).

Shorefront 1 is a non-transferable free tier with limited usage. It does not require any NFT purchase and is intended as an on-ramp for new Sellers.

3.5 Tier Upgrades/Downgrades.

Upgrades and downgrades generally take effect on the next billing cycle or as specified in the Shorefront pricing and billing rules. You are responsible for reviewing how a change may affect your listing limits, fees, and discounts.


4. Listing Requirements

As a Seller, you agree to:

  • describe products and services accurately and completely;
  • disclose defects, damage, missing components, or material limitations;
  • upload truthful photos, videos, or media that reasonably represent the item or service;
  • place listings only in appropriate and permitted categories;
  • comply with Prohibited Items & Category Rules and TOS §10 Category-Specific Provisions;
  • not misrepresent authenticity, condition, or performance.
  • Material misrepresentation, deceptive practices, or repeated complaints about inaccurate listings may result in suspension or removal of your selling privileges.
  • All items and services offered during a Live Event must be listed on the Platform, either before the stream or during the stream using the Quick-List tool (price, category, shipping or service terms, and minimum required details).
  • No item may be sold during a Live Event unless it has an active Platform listing.

5. Pricing, Fees & Payouts

5.1 Seller’s Listing Price

You set your own listing price. Fisheez does not control, mandate, or guarantee your pricing. The Seller’s listing price does not include the Fisheez platform fee.

5.2 Platform Fee Logic

The Buyer pays the Fisheez platform fee on top of your listing price. The platform fee is calculated from:

  1. The 20-Tier Fee Schedule (base percentage based on total transaction value);
  2. Seller’s Shorefront Tier discount (0–35%);
  3. Seller’s TideTurner NFT fee discount (if any);
  4. Buyer’s Shorefront Tier discount;
  5. Buyer’s TideTurner NFT fee discount.

Best-Discount-Wins Rule (Fees)

For each transaction:

  • Fisheez evaluates all valid fee discounts from both Buyer and Seller;
  • The single highest discount is applied;
  • That discount is applied in favor of the Buyer, reducing the Buyer’s platform fee;
  • Discounts never stack.

Example:

Buyer has Shorefront 5 (20% discount). Seller holds a Whale TideTurner (100% discount).

→ Whale discount is higher → Buyer pays 0% platform fee.

The Seller’s net proceeds are always their listing price minus any Seller-side allocations (e.g., Promoter share, taxes, and any other agreed splits), not the platform fee itself.

5.3 Promoter Compensation

If you enable Promoter participation on a listing, you may designate either:

  • a percentage of your proceeds; or
  • a fixed amount from your proceeds,

to be paid to the Promoter when the transaction settles.

Promoter compensation is encoded into the SmartShell payout flow and is executed automatically upon escrow resolution. You control whether a listing allows Promoter participation and on what terms, subject to the Promoter Program Terms.

5.4 Taxes

Any applicable transactional taxes (e.g., sales or use tax) may be calculated at checkout via a third-party tax determination system and are paid by the Buyer.

You, as the Seller, are solely responsible for:

  • reporting and remitting income or other taxes arising from your sales;
  • complying with all tax laws in relevant jurisdictions;
  • maintaining your own records for tax reporting.

Fisheez does not provide tax advice, does not act as your tax agent, and does not determine your individual tax obligations.


6. Fulfillment Requirements

6.1 Physical Goods

You are responsible for:

  • preparing and packaging items in a way that is safe and appropriate for shipping;
  • shipping within the timeframe stated in your listing;
  • providing a valid tracking number when required;
  • ensuring the item shipped matches the listing description and condition;
  • participating in return and dispute processes within the SmartShell deadlines.

Seller Acknowledgment Duty.

Seller must acknowledge each order within seventy-two (72) hours by accepting or rejecting it, or by communicating through the platform interface. Failure to do so triggers an automatic Non-Response Dispute and refund to the Buyer under the SmartShell Escrow Agreement.

6.2 Local / In-Person Handoff

For local transactions and in-person handoffs, you are responsible for:

  • appearing at the agreed time and place, or arranging a suitable alternative;
  • cooperating with identity or QR-based verification processes (including Fisheez Hub procedures when such features are active);
  • complying with any local safety guidelines issued by Fisheez.

6.3 Service Listings

For service-based transactions, you are responsible for:

  • performing services as described in your listing and agreed scope;
  • delivering milestones or final deliverables within the agreed timeframe and escrow period;
  • disclosing prerequisites, dependencies, or limitations that could affect performance;
  • not misrepresenting your qualifications, experience, or the capabilities of your services.

Failure to perform as described may result in disputes and adverse outcomes under the Dispute Resolution & Refund Policy.


7. SmartShell Escrow Obligations

This section summarizes your obligations under the SmartShell Escrow Agreement, which remains controlling.

You acknowledge and agree:

7.1 Non-Custodial Flow.

  • Payments are made Buyer → SmartShell → Seller (or Buyer, in case of refund).
  • Fisheez does not receive, hold, pool, or manually reroute user funds.

7.2 Fixed Timers.

Escrow and disputes operate on fixed timers, which may include:

  • Escrow duration for the transaction;
  • 72-hour Seller Response Window for return requests (shipped goods);
  • 7-day Dispute Cycle;
  • 21-day Buyer Return Window;
  • 3-day Seller Review Window;
  • 7-day Appeal Cycle.

You agree to monitor these timers and act within the applicable windows.

7.2(a) Temporary Service Degradation and Force-Majeure Events

In limited circumstances where a verified platform outage, infrastructure failure, or force-majeure event outside Fisheez’s reasonable control (including widespread internet outages, data-center failures, power grid disruptions, or blockchain network instability) materially prevents Sellers and Buyers from accessing standard escrow or dispute interfaces (“Degraded Service Event”), SmartShell may temporarily pause applicable escrow- and dispute-related timers in accordance with the SmartShell Escrow Agreement.

During any such temporary pause:

(a) active escrows, disputes, appeals, return windows, and review periods remain open but do not progress toward expiration;
(b) no escrow funds are released, refunded, reallocated, or otherwise modified;
(c) no votes, evidence submissions, or dispute outcomes are reset, invalidated, or altered; and
(d) no Seller gains additional time, extensions, or procedural advantage beyond the fixed pause itself.

Any temporary pause is limited to a fixed, non-extendable duration and may be applied no more than once per escrow. Upon expiration of the pause, all escrow and dispute timers automatically resume from the exact point at which they were paused and continue under the same rules and deadlines that would have applied absent the pause.

Temporary service degradation does not permit Sellers to avoid disputes, cancel active escrows, delay fulfillment indefinitely, or circumvent SmartShell outcomes. All escrows, disputes, and appeals are designed to resolve deterministically and without discretionary intervention in accordance with the SmartShell Escrow Agreement and Dispute Resolution & Refund Policy.

7.3 Extensions.

  • Pre-Dispute Extensions: Buyer and Seller may mutually agree to extend the active escrow duration by 1–28 days, and may do so multiple times before a dispute is filed.
  • In-Dispute Extension: During the Dispute Cycle’s Q&A phase, the parties may mutually agree to one (1) In-Dispute Extension of 1–28 days, after which an Extension Review Window applies as described in the Dispute Resolution & Refund Policy.
  • Return-specific windows (21-day Buyer Return Window and 3-day Seller Review Window) are not extendable except as provided through dispute outcomes.

7.4 Binary Outcomes Only.

All SmartShell outcomes are:

  • Forward — full release of escrowed funds to the Seller; or
  • Backward — full refund of escrowed funds to the Buyer.

No partial, split, or percentage-based outcomes are available for a single escrow contract.


8. Returns & Disputes

Returns and disputes are governed by the Fisheez Dispute Resolution & Refund Policy, which is incorporated by reference.

As a Seller, you agree to:

  • respond to return requests during your 72-hour Seller Response Window;
  • inspect returned items, when applicable, during your 3-day Seller Review Window;
  • submit evidence and responses during the 7-day Dispute Cycle;
  • file appeals, if desired, within the allowed appeal window;
  • participate in good faith and refrain from abusive or frivolous filings.
  • Off-platform agreements are not part of the SmartShell contract and are not enforceable through Fisheez. However, if you and the other party exchanged messages or agreements outside the Platform, you may upload that information as evidence during the applicable Dispute or Appeal evidence-submission windows. Peacemakers may consider such off-platform evidence at their discretion, but Fisheez does not guarantee that any off-platform promise, partial refund, side arrangement, or alternative delivery agreement will be honored or reflected in the final SmartShell outcome. All outcomes remain strictly binary under the SmartShell Escrow Agreement.
  • Missing a window may automatically result in an outcome against you (for example, failure to dispute or respond within a window may lead to a refund to the Buyer).

All disputes and appeals require three (3) to nine (9) valid Peacemaker votes. If fewer than three votes are recorded, the automatic appeal and fallback procedures under §7 apply. All SmartShell dispute outcomes are binary and executed automatically.

9. Prohibited Conduct

You agree not to:

  • list illegal goods or prohibited services;
  • knowingly sell counterfeit or infringing items;
  • circumvent SmartShell escrow or encourage off-platform payments;
  • manipulate reviews or ratings;
  • harass, threaten, or abuse Buyers, Promoters, Peacemakers, or staff;
  • attempt to influence Peacemaker voting through bribery, collusion, or retaliation;
  • engage in fraud, misrepresentation, or any other deceptive practices.
  • soliciting or directing Buyers to pay outside SmartShell (including during Live Events or through chat).

Violations may result in immediate suspension, permanent removal from the Platform, and/or reporting to appropriate authorities where required.


10. Promoter Program Terms (Seller Role)

If you enable Promoter participation on a listing:

  • You authorize SmartShell to automatically allocate Promoter compensation according to the percentage or fixed amount you set;
  • You understand that Promoter compensation is taken from your proceeds;
  • Buyers may see the Promoter associated with a listing or campaign;
  • You may disable Promoter access for future listings at any time (this does not affect existing active escrows).

Any user acting as a Promoter must hold an active Shorefront (Tier 1–8) and is bound by this Seller Agreement. This ensures that promoters remain subject to the same obligations, verification requirements, and platform standards as other commercial participants.

Promoters act as independent third parties and are not your employees, agents, or partners. All Promoter relationships are subject to the Promoter Program Terms, which are expressly incorporated into this Agreement.


11. Suspension & Termination

Fisheez may limit, suspend, or terminate your Seller privileges, remove listings, or restrict access if:

  • you repeatedly lose disputes in ways that indicate fraud, abuse, or negligence;
  • you violate this Agreement, the Terms of Service, or any incorporated policy;
  • you list prohibited or illegal goods/services;
  • you attempt to circumvent SmartShell or platform fee structures;
  • you harass or abuse Buyers, Promoters, Peacemakers, or Fisheez staff;
  • you fail to maintain required verification or present regulatory risk.
  • Live Events may be paused or terminated automatically when matching user reports meet the thresholds in the Live Event Moderation Rules (§14.7). A terminated event may trigger temporary restrictions on hosting new Live Events. Peacemakers may review archived segments to validate or overturn the violation. Continued violations may result in suspension of Live Event privileges or full Seller removal.

Fisheez may take immediate action where necessary to protect users, the platform, or comply with legal obligations.


12. Intellectual Property

You retain ownership of your listing text, images, videos, and related content. You grant Fisheez a worldwide, non-exclusive, royalty-free, sublicensable license to:

  • host, display, and distribute your content on the Platform;
  • use your content in marketing, search, recommendation, and educational materials related to Fisheez;
  • retain copies for archival, audit, and legal purposes even after removal.

This license terminates for active display and promotion when the content is removed from the Platform, subject to reasonable caching and archival practices.


13. Indemnification

You agree to indemnify, defend, and hold harmless Fisheez and its affiliates, officers, directors, and employees from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your listings, products, or services;
  • your breach of this Agreement or the Terms of Service;
  • your violation of law or third-party rights (including IP rights);
  • product liability or service performance claims;
  • your misuse of SmartShell, Promoter tools, or any Fisheez feature.

14. Liability Limitation

To the maximum extent permitted by law:

  • Fisheez is not liable for lost profits, lost sales, loss of data, or any indirect, incidental, special, or consequential damages;
  • Fisheez does not guarantee Buyer behavior, dispute outcomes, or that any listing will sell;
  • SmartShell outcomes are final and are not subject to manual reversal by Fisheez.

Any direct liability of Fisheez to you, if established, will be limited as stated in the Terms of Service.


15. Governing Documents

The following documents collectively govern all Seller activity on Fisheez (together, the “Seller Agreement Package”):

  1. Fisheez Terms of Service
  2. SmartShell Escrow Agreement
  3. Fisheez Dispute Resolution & Refund Policy
  4. Peacemaker Governance & Charter
  5. Promoter Program Terms
  6. Prohibited Items & Category Rules (including TOS §10 Category-Specific Provisions)
  7. Privacy Policy

In the event of a conflict, the Fisheez Terms of Service control, followed by the SmartShell Escrow Agreement and Dispute Resolution & Refund Policy.


16. Acceptance

By listing, selling, or engaging in any Seller activity on Fisheez, you confirm that:

  • you have read this Agreement and all incorporated policies;
  • you understand your obligations as a Seller;
  • you agree to be bound by this Agreement and the Seller Agreement Package;
  • you are legally capable of entering into this Agreement on your own behalf or on behalf of the business you represent.
