Buyer Agreement

(Legally Binding – Integrated With SmartShell & Fisheez TOS)

Version: 1.0

This Buyer Agreement (“Agreement”) governs your activities as a Buyer on the Fisheez marketplace (“Fisheez,” “we,” “our,” “the Platform”).

This Agreement is part of, and is incorporated into, the Fisheez Terms of Service (“TOS”). It also incorporates by reference:

  1. SmartShell Escrow Agreement
  2. Fisheez Dispute Resolution & Refund Policy
  3. NFT, Crypto & Payment Policy
  4. Listing Rules & Prohibited Items Policy (including TOS §10 Category-Specific Provisions)
  5. Peacemaker Governance & Charter
  6. Promoter Program Terms
  7. Privacy Policy
  8. Offers & Pre-Checkout Messaging

If there is any conflict between this Agreement and the TOS, the TOS controls.

By placing an order, funding escrow, or otherwise acting as a Buyer, you agree to all terms below.


1. Status of Buyer & Marketplace Role

1.1 Independent User.

You act as an independent user. You are not an employee, agent, partner, joint venturer, or franchisee of Fisheez.

You are responsible for maintaining a compatible device, internet connection, and software necessary to access Fisheez.

1.2 Marketplace Only.

Fisheez is a non-custodial marketplace facilitator. We:

  • provide the marketplace interface;
  • route interactions into SmartShell escrow contracts; and
  • provide a community dispute system via Peacemakers.

We do not:

  • guarantee that Sellers will perform;
  • guarantee item quality or suitability;
  • hold or pool user funds;
  • manually choose dispute winners; or
  • provide legal, tax, or investment advice.

1.3 SmartShell Binding.

Every escrow-based purchase you make is governed by the SmartShell Escrow Agreement. You acknowledge that:

  • SmartShell supports only binary outcomes: full release to Seller (Forward) or full refund to Buyer (Backward);
  • Fisheez cannot manually override SmartShell outcomes or move funds on your behalf;
  • timers and windows are fixed except as explicitly allowed (e.g., mutually agreed extensions); and
  • all final dispute/appeal outcomes are automatically executed and irreversible once SmartShell acts.

2. Eligibility & Account Requirements

To act as a Buyer on Fisheez, you must:

  • be at least 18 years of age (or the age of majority where you live);
  • have capacity to enter binding contracts;
  • maintain a valid, verified account (email, wallet, and any additional verifications required under the TOS);
  • comply with applicable U.S. and local laws governing your purchases; and
  • not be barred from using the Platform under any sanctions, export, or AML rules.

Fisheez may require additional identity or business verification (KYC/KYB) for certain categories, jurisdictions, or transaction volumes, consistent with the TOS and the NFT, Crypto & Payment Policy.

If you fail to meet or maintain these requirements, your Buyer privileges may be limited, suspended, or terminated.

You are solely responsible for determining whether your purchases and participation in the Platform comply with all laws applicable to you. Fisheez does not evaluate or guarantee your legal compliance.


3. Wallets, Payments & Platform Fees

Platform fees, discount eligibility, and the “best discount wins” logic used during checkout are governed by the Shorefront Subscription & Pricing Policy and the NFT, Crypto & Payment Policy, which are incorporated by reference.

3.1 Non-Custodial Wallet Use.

You must connect a compatible wallet to transact on Fisheez. You are solely responsible for:

  • securing your wallet and private keys;
  • confirming the accuracy of on-chain transactions; and
  • any loss resulting from compromised devices or mis-sent funds.

3.2 Supported Assets & Display Currencies.

Supported payment assets and settlement behavior are defined in the NFT, Crypto & Payment Policy. In general:

  • prices may be displayed in fiat (e.g., USD) for convenience;
  • settlement occurs in stablecoins or other supported digital assets via SmartShell;
  • all transfers are on-chain and non-reversible except through SmartShell’s rules.
  • You acknowledge that settlement occurs in digital assets and that their value may fluctuate relative to fiat currencies.

3.3 Platform Fee Structure – Buyer Perspective.

When you buy:

  • you pay the platform fee, on top of the Seller’s listed price (plus any taxes and shipping);
  • the fee percentage is derived from the 20-tier fee table (based on transaction size) and then reduced by any valid discount.

Fee inputs may include:

  1. Base fee % from the 20-tier fee schedule;
  2. Buyer Shorefront tier (if you hold a Shorefront NFT and/or active subscription);
  3. Buyer TideTurner NFT (fee discount);
  4. Seller Shorefront tier benefits; and
  5. Seller TideTurner NFT benefits.

3.4 “Best Discount Wins” Logic.

For each transaction, the system:

  • evaluates all relevant fee discounts attached to the Buyer and Seller;
  • selects one single highest discount;
  • applies that discount in your favor as the Buyer;
  • never stacks percentage discounts.

Result: the best available fee discount always benefits you, regardless of whether it comes from your own NFTs/subscriptions or the Seller’s.

Peacemaker certifications affect a Seller’s subscription pricing, not transaction fees, and therefore do not change the fee you pay at checkout.

3.5 Taxes & Third-Party Providers.

  • Transactional taxes (e.g., sales/use/VAT where applicable) are calculated via a third-party tax determination system and shown at checkout.
  • You are responsible for paying any applicable taxes as part of the transaction.
  • Fisheez does not provide personal tax advice or guarantee your tax treatment. You must consult your own advisor if needed.

3.6 Promoted Listings Disclosure

Some listings on Fisheez may be promoted by other users (“Promoters”). When a Promoter participates in a promoted listing, a portion of the Seller’s proceeds may be allocated to the Promoter through the SmartShell payout flow. This does not increase the price you pay or change your rights as a Buyer. Promoters never act as the Seller, do not handle goods, and have no role in shipping, fulfillment, or dispute decisions.


4. Using Listings & Understanding Risk

4.1 Seller-Generated Content.

Listings (titles, descriptions, photos, videos, claims) are created by Sellers, not Fisheez. Fisheez does not pre-approve or guarantee the accuracy, safety, or legality of listings.

4.2 Your Duty to Review.

Fisheez does not warrant, endorse, or verify the accuracy of any Seller-provided content; you assume all risk of relying on listing materials provided by Sellers.

Before placing an order, you are responsible for:

  • reading the full listing (description, condition details, shipping terms);
  • checking photos and any disclosed defects;
  • reviewing the Seller’s rating and transaction history, where provided;
  • noting whether the item is new, used, refurbished, as-is, or final sale under category-specific rules; and
  • understanding whether the transaction involves shipped goods, local handoff, digital services, physical services, or live events.

4.3 Category Rules & Prohibited Items.

Certain items and services are prohibited or restricted. These rules are defined in:

  • Listing Rules & Prohibited Items Policy; and
  • TOS §10 Category-Specific Provisions.

Purchasing a prohibited or restricted item may void protections and can result in account action.


5. SmartShell Escrow & Time Windows (Buyer Duties)

This section summarizes your obligations. The SmartShell Escrow Agreement and Dispute Resolution & Refund Policy control if there is any mismatch.

5.1 Escrow Activation.

An escrow becomes active when:

  • you initiate a transaction and fund the full escrow amount; and
  • the Seller accepts or otherwise agrees to fulfill the order.
  • If the Seller does not acknowledge your order within seventy-two (72) hours (by accepting, rejecting, or communicating through the platform), SmartShell automatically triggers a Non-Response Dispute and refunds your payment in full.

5.2 Core Timers (Physical Goods).

For shipped physical goods, key timers include:

  • Escrow Active – from funding until early release, expiration, or dispute;
  • Seller Response Window – 72 hours after you request a return;
  • Dispute Cycle – 7 days;
  • Buyer Return Window – 21 days (once a return is required);
  • Seller Review Window �� 3 days after tracking is entered (no existing seller dispute);
  • Appeal Cycle – 7 days.

5.3 Extensions.

  • Pre-Dispute Extensions: you and the Seller may mutually agree to extend the active escrow before a dispute is filed. There is no hard cap on how many times, but SmartShell will only extend when both sides agree in-app.
  • In-Dispute Extension (one per case): during the Q&A portion of a dispute, either side can propose a 1–28 day extension; it only takes effect if the other party agrees. After that, the dispute moves into an extension phase and later an extension review window (see Dispute Resolution & Refund Policy).
  • Return windows (21-day Buyer Return + 3-day Seller Review) are not extended by simple agreement; they may only be effectively reset as a result of a dispute/appeal outcome as described in the Dispute Resolution & Refund Policy.

5.4 Binary Outcomes Only.

You understand and agree:

  • there are no partial refunds within a single SmartShell escrow;

  • final outcomes are Forward (Seller gets paid) or Backward (you get a full refund);

  • any partial or off-platform compromises must be handled entirely outside SmartShell; and

  • Fisheez will not operate as a middleman for such arrangements.

  • Off-platform agreements are not part of the SmartShell contract and are not enforceable through Fisheez. However, if you and the other party exchanged messages or agreements outside the Platform, you may upload that information as evidence during the applicable Dispute or Appeal evidence-submission windows. Peacemakers may consider such off-platform evidence at their discretion, but Fisheez does not guarantee that any off-platform promise, partial refund, side arrangement, or alternative delivery agreement will be honored or reflected in the final SmartShell outcome. All outcomes remain strictly binary under the SmartShell Escrow Agreement.

  • 5.5 Platform Availability, Outages, and Buyer Responsibility

  • You acknowledge that access to the Fisheez platform, dispute tools, fallback interfaces, or emergency access mechanisms may be temporarily unavailable due to technical failures, power outages, internet disruptions, blockchain network issues, or other events beyond Fisheez’s reasonable control.

  • SmartShell escrow contracts operate independently on the underlying blockchain and continue to exist and execute according to their encoded rules even if platform interfaces are unavailable.

  • You are solely responsible for monitoring escrow status, deadlines, dispute windows, and return requirements associated with your transactions. Temporary platform unavailability does not suspend escrow outcomes unless SmartShell protocol logic expressly provides for a temporary pause as described in the SmartShell Escrow Agreement.

  • Fisheez does not guarantee uninterrupted access to dispute or escrow interfaces and does not manually intervene to pause, extend, cancel, or reverse escrow outcomes due to outages or access limitations.


6. Returns, Refunds & Disputes (Buyer Rights & Responsibilities)

Details are in the Fisheez Dispute Resolution & Refund Policy. This section focuses on your obligations. Peacemakers are independent community participants and do not act as Fisheez employees, agents, or representatives. Their decisions are made independently according to the Peacemaker Governance & Charter.

You are solely responsible for monitoring your own dispute, appeal, and return deadlines. Failure to act within the required window automatically results in the contractual outcome defined by SmartShell.

6.1 Early Release.

If you voluntarily confirm completion or release funds early:

  • SmartShell immediately pays the Seller;
  • you waive your right to file a dispute or request a refund for that escrow.

Do not release funds early unless you’re satisfied with the transaction.

6.2 Return Requests – Shipped Goods.

To seek a return for shipped physical goods:

  1. You must submit a Return Request through the platform while the escrow is still active or within any specified window.
  2. SmartShell replaces the original timer with a 72-hour Seller Response Window.
  3. The Seller may accept, reject, or fail to respond. Rejection or non-response drives the case into a dispute, as defined in the Dispute Resolution & Refund Policy.

6.3 Buyer Return Window (21 Days).

If a return is required (because the Seller accepted, or you prevailed in a dispute/appeal):

  • you have 21 calendar days to ship the item back and enter valid tracking into Fisheez;
  • failure to do so generally results in the escrow resolving Forward to the Seller;
  • if serious obstacles arise (e.g., hospitalization, force majeure), you must keep a dispute open or file a dispute within that window so Peacemakers can review the context.
  • Returning an item that is not the purchased item, sending an empty box, or otherwise abusing the return process constitutes fraud and may result in immediate account action.

6.4 Dispute Filing.

You may file a dispute:

  • during active escrow (before expiration);
  • after a return request is rejected or ignored;
  • during the Buyer Return Window or Seller Review Window, under the conditions defined in the Dispute Resolution & Refund Policy.

When you dispute, you must:

  • provide truthful, specific reasons;
  • upload clear evidence (photos, video, messages, receipts, etc.);
  • respond to Peacemaker questions during the Dispute Cycle.

False or abusive disputes can lead to account action.

6.5 Appeals.

If you lose a dispute, you may have the right to file one appeal within the designated appeal filing window. If you appeal:

  • a new Peacemaker panel reviews the case;
  • the Appeal Cycle lasts 7 days;
  • the appeal outcome is final and executed automatically by SmartShell.

6.6 Refund Routes.

You understand that refunds can only occur through:

  • a dispute or appeal decided in your favor;
  • a mutual cancellation accepted by the Seller; or
  • a verified SmartShell malfunction corrected under the SmartShell Escrow Agreement and Dispute Resolution & Refund Policy.

Fisheez will not manually refund or reissue payments outside SmartShell logic.


7. Buyer Responsibilities – Category Types

7.1 Physical Shipped Goods.

You agree to:

  • provide a correct shipping address and contact information;
  • promptly inspect items upon delivery;
  • initiate return requests and/or disputes within the applicable windows;
  • securely package items you return and use a reputable carrier;
  • enter accurate tracking data;
  • retain proof of shipment until the case is resolved.
  • Fisheez is not responsible for carrier delays, delivery failures, loss or damage during transit, or the performance of third-party logistics providers.

7.2 Local / In-Person Transactions.

For local or in-person deals (including future QR-verified handoffs and Fisheez Hub scenarios once fully implemented):

  • you are responsible for personal safety and meeting in a safe public location (or approved Hub, when available);
  • where QR or other verification is required, you must follow the on-screen flow to confirm receipt;
  • if you fail to complete required verification or fail to attend a meet-up within the escrow period, the transaction may resolve Forward to the Seller unless a dispute is properly filed within the deadlines.
  • Once QR-based verification or Hub procedures are implemented, those procedures will become mandatory for applicable transactions and will be incorporated into this Agreement by reference.

7.3 Digital Services & Remote Work.

For service transactions:

  • you must clearly communicate requirements via the platform;
  • you must review and respond to milestones in a timely manner;
  • you must file disputes within the applicable milestone or project escrow windows if you believe the service is defective, incomplete, or misrepresented;
  • if you approve a milestone or release funds, that milestone is considered complete and cannot later be disputed.

SmartShell does not support partial refunds for service transactions. Each service escrow resolves in a single Forward or Backward outcome for the entire amount, even if a project contains multiple milestones. Buyers must not approve milestones unless they are satisfied with that portion of the work.

7.4 Live Events & Live-Stream Commerce.

Where you participate in live-stream purchases:

  • you are responsible for confirming the item, price, and quantity before finalizing the purchase;
  • live-event purchases may have category-specific rules (e.g., all sales final after a certain stage, specific return exceptions) that are outlined in TOS §10 and the Listing Rules & Prohibited Items Policy;
  • you must not harass hosts or engage in abusive or disruptive behavior in live chats.
  • You may not bid or commit to a purchase during a live event with no intent to complete the transaction.

8. Prohibited Buyer Conduct

You may not:

  • attempt to purchase items or services that you know are illegal or prohibited under the Listing Rules & Prohibited Items Policy;
  • use stolen payment methods or engage in fraud, chargebacks, or identity theft;
  • circumvent SmartShell escrow by soliciting off-platform payment to avoid fees or timers;
  • manipulate ratings, reviews, or Peacemaker voting;
  • submit falsified evidence or knowingly misleading claims;
  • harass Sellers, Peacemakers, promoters, or other users;
  • misuse the flagging system for harassment or competitive interference.

Violations can lead to:

  • order cancellations;
  • loss of Buyer protections;
  • suspension or termination of your account;
  • reporting to law enforcement where appropriate.

9. Promoters, Recommendations & Transparency

9.1 Promoted Listings.

Some listings may be boosted by Promoters under the Promoter Program Terms. When applicable:

  • you may see which Promoter helped surface or feature the listing;
  • any promoter compensation comes from a share of the Seller’s proceeds, not from a separate Buyer fee;
  • Fisheez is not responsible for Promoter statements beyond what is clearly presented in the listing or live event.

9.2 No Advisory Duty.

Promoter involvement does not create:

  • an advisory, fiduciary, or brokerage relationship between you and Fisheez; or
  • any guarantee that the item or service is appropriate, genuine, or risk-free.

You remain responsible for your own purchase decisions.

Promoters have no authority to participate in, influence, or appeal Buyer disputes, and their compensation is automatically void if a dispute results in a Buyer refund.


10. Suspension, Limits & Termination

Fisheez may limit, suspend, or terminate your ability to act as a Buyer if:

  • you repeatedly lose disputes in ways suggesting fraud or abuse;
  • you violate this Agreement, the TOS, or the Listing Rules & Prohibited Items Policy;
  • you attempt to circumvent SmartShell, platform fees, or on-chain settlement;
  • you abuse flagging tools, live chats, or messaging;
  • you fail required verification checks or appear on sanctions/AML watchlists;
  • your activity poses risk to Sellers, Peacemakers, or the platform ecosystem.

We may:

  • cancel or block transactions;
  • remove your access to certain categories or features;
  • freeze access to specific tools while investigations occur, consistent with our non-custodial structure.

11. Intellectual Property & Content You Provide

11.1 Buyer Content.

If you submit reviews, comments, messages, or other content, you grant Fisheez a non-exclusive, worldwide, royalty-free license to:

  • use, host, display, and reproduce that content in connection with the Platform;
  • moderate, translate, or format it for display;
  • retain it for legal, audit, and dispute-resolution purposes.

11.2 Prohibited Content.

You may not post:

  • defamatory, libelous, or hateful content;
  • unlawful threats or harassment;
  • pornographic or explicit material outside allowed categories and age rules;
  • content that infringes others’ intellectual property rights.

We may remove or restrict content consistent with the TOS and applicable law.


12. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Fisheez and its officers, directors, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your misuse of the Platform or SmartShell;
  • your violation of this Agreement, the TOS, or any incorporated policy;
  • your violation of law or third-party rights;
  • your fraud, misrepresentation, or abusive conduct toward Sellers, Peacemakers, or other users.

13. Disclaimers & Limitation of Liability

You acknowledge that Fisheez does not manually intervene in escrow disputes or override SmartShell logic, even if you believe an outcome is unfair.

13.1 No Guarantee of Outcomes.

Fisheez does not:

  • guarantee that listings will be accurate or complete;
  • guarantee any Seller’s performance, quality, or delivery times;
  • guarantee dispute outcomes in your favor.

13.2 SmartShell Execution.

Once SmartShell executes a result consistent with the SmartShell Escrow Agreement and applicable policies:

  • that outcome is final on-chain;
  • Fisheez is not obligated to compensate you for dissatisfaction with the result, absent a verifiable smart-contract malfunction.

13.3 Liability Cap.

To the maximum extent permitted by law:

  • Fisheez is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost opportunities;
  • Fisheez’s aggregate liability to you for any claim relating to your use of the Platform as a Buyer will not exceed the greater of:
    • (a) the total platform fees you paid to Fisheez for the transaction(s) at issue, or
    • (b) any minimum amount required by applicable law.

Some jurisdictions do not allow certain disclaimers or limitations; in such cases, the above applies to the fullest extent allowed.


14. Governing Documents & Precedence

The following documents collectively govern your use of Fisheez as a Buyer:

  1. Fisheez Terms of Service
  2. SmartShell Escrow Agreement
  3. Fisheez Dispute Resolution & Refund Policy
  4. NFT, Crypto & Payment Policy
  5. Listing Rules & Prohibited Items Policy (including TOS §10 Category-Specific Provisions)
  6. Peacemaker Governance & Charter
  7. Promoter Program Terms
  8. Privacy Policy

If there is any conflict:

  1. The TOS controls;
  2. Then the SmartShell Escrow Agreement and Dispute Resolution & Refund Policy for escrow and disputes;
  3. Then this Buyer Agreement;
  4. Then the remaining incorporated policies.

15. Acceptance

By creating an account, placing an order, funding a SmartShell escrow, or otherwise acting as a Buyer on Fisheez, you confirm that:

  • you have read this Buyer Agreement and the incorporated policies;
  • you understand your obligations, including timers, return requirements, and dispute/appeal limits;
  • you understand that SmartShell is non-custodial and binary in its outcomes; and
  • you agree to be bound by this Agreement, the TOS, and all incorporated documents.

If you do not agree, you must not use Fisheez as a Buyer or participate in SmartShell-based transactions.
