§13 Termination & Suspension of Accounts

13.1 Right to Suspend or Terminate

Fisheez PBC may, at its sole discretion, suspend, restrict, or terminate any account, listing, or access to the Platform at any time and for any lawful reason, including but not limited to:

1. violation of these Terms, any policy, or applicable law;
2. fraudulent, deceptive, or harmful activity affecting other users or the Platform;
3. repeated failure to comply with escrow, dispute, or fee-payment requirements;
4. misuse of smart contracts, wallets, or automation systems;
5. threats, harassment, or conduct that undermines marketplace integrity; or
6. technical, legal, or security risks requiring immediate mitigation.

Where feasible, users will receive a notice describing the reason for suspension or termination and the available steps to appeal or reinstate the account.

13.2 Non-Custodial Limitation

Because Fisheez PBC operates as a non-custodial marketplace and is not a money transmitter, the Company does not hold user funds and cannot reverse on-chain transactions.

Suspension or termination affects only Platform access, listing privileges, and community participation—not the independent operation of blockchain smart contracts.

Pending Smart Shell escrows or active disputes remain governed by the Peacemaker System (§ 7) and the contract version in effect at initiation.

13.3 User-Initiated Termination

Users may close their accounts at any time by submitting a termination request through their dashboard or verified support channel.

Closing an account does not erase historical transaction records recorded on-chain or within Fisheez logs retained for audit, compliance, and dispute resolution.

13.4 Effect of Termination

Upon termination or suspension:

• active listings and live-stream sessions may be hidden or disabled;
• account access, dashboards, and communications tools may be restricted;
• earned rewards, NFTs, or Pearl Points remain subject to applicable policies and may be frozen pending review; and
• all rights granted under these Terms immediately cease except where survival clauses apply.

13.5 Appeals & Dispute Review

Users may submit an appeal within 15 days of receiving notice of suspension or termination.

Appeals are reviewed through the Peacemaker System or designated compliance staff.

Fisheez PBC’s final decision on reinstatement is binding and made in good faith to protect community safety and legal compliance.

13.6 No Waiver or Liability

Fisheez PBC’s decision to suspend or terminate access does not constitute a waiver of any rights or remedies under law.

The Company bears no liability for loss of data, earnings, NFTs, or goodwill resulting from account actions, system upgrades, or enforcement measures taken in accordance with these Terms.

13.7 Survival

Sections concerning indemnification (§ 11), limitation of liability (§ 14), governing law (§ 11.3-11.4), and dispute resolution (§ 7) survive any termination or account closure.
